WAAA Constitution

Baldwin Wallace University
Women’s Alumni Athletic Association

ARTICLE I.  NAME

The name of the association shall be the Baldwin Wallace University Women’s Alumni Athletic Association.

ARTICLE II.  PURPOSE

The purpose of the Baldwin Wallace University Women’s Alumni Athletic Association shall be to preserve and promote the athletic future at Baldwin Wallace University and strengthen the common bond of its members.

ARTICLE III.  MEMBERSHIP

The membership shall be open to all women who have participated in athletics while at Baldwin Wallace University.

Associate membership shall be made possible for the alumnae and friends of Baldwin Wallace University whose demonstration of loyalty to the college merits this consideration.

ARTICLE IV.  EXECUTIVE BOARD

The governing body of this Association shall be the Executive Board, which shall include the officers, immediate past president, and members at large from the Association appointed by the President.  The Women’s Athletic Director and the Alumni Director shall be ex-officio members.

ARTICLE V.  OFFICERS

SECTION 1.     The officers shall be: president, vice-president, secretary and           Treasurer.

SECTION 2.     The term of office shall be two (2) years.

SECTION 3.     Election of the officers shall be held at the annual meeting.

SECTION 4.     Vacancies shall be filled by the Executive Board.

SECTION 5.     Duties of the Officers
A.  President
1.  Shall preside at all meetings of the Baldwin Wallace
     College Women’s  Alumni Athletic Association.
2.  Shall enforce the observance of the constitution.

3.  Shall be chairperson of the Hall of Fame Selection Committee.
4.  Shall be the official representative of the Association.
5.  Shall perform any other duties which pertain to that office.

B.  Vice President
1. In the absence of the president shall perform the duties of that office.
2. Shall be responsible for public relations.

C.  Secretary
1.   Shall keep an accurate record of all meetings.
2.   Shall distribute minutes to all members of the Executive Board.
3.  Shall retain an accurate record of all Hall of Fame nominees.
4.  Shall perform any other duties which pertain to that office.

Treasurer
1.   Shall keep an accurate record of all monies handled by the
     Baldwin Wallace University Women’s Alumni Athletic Association.
2.  Shall disburse any monies authorized by the Executive Board.

3.  Shall perform any other duties which pertain to that office.

ARTICLE VI.  MEETINGS

There shall be a minimum of one annual meeting.
The Association shall be governed by Robert’s Rules of Order.

ARTICLE VII.  STANDING COMMITTEES

SECTION 1  Nominating Committee
A.  Shall be appointed by the Executive Board.
B.  Shall present the slate of officers at the annual meeting.
C.  Shall consist of three (3) members.
1.  One (1) member shall be from the present Executive Board.

2.  Two (2) members shall be from the membership at large.

SECTION 2  Hall of Fame Selection Committee
A.  Shall be composed of at least ten (10) persons.
1.  Women’s Athletic Director of Baldwin Wallace University.
2.  President of the Baldwin Wallace University Women’s Alumni Athletic Association, or her designee.
3.  Two members of the Baldwin Wallace University Women’s Alumni Athletic Association appointed annually by the Executive Board.
4.  Four women members of the Baldwin Wallace University Athletic Hall of Fame.
5.  President of Baldwin Wallace University, or a designee, will be an ex-officio member of the committee.
6.  Director of the Office of Alumni and Parents Relations of  Baldwin Wallace University will be an ex-officio member of the committee.
7.  Past and present coaches of women’s sports.

ARTICLE VIII.  AMENDMENT

This constitution may be amended, repealed or otherwise altered at any time by two-thirds (2/3) vote of the Executive Board.
